These terms govern the use of the Site and the Liban Viager mobile application (together, the "Platform"), the purpose of which is to connect homeowners wishing to sell their property under a viager arrangement with investors, through a network of partner brokers.
Liban Viager acts as a platform and broker: it initiates, values and documents transactions, but is neither the buyer, the seller, nor a party to the viager contract, which binds exclusively the seller and the investor.
The simulations, properties and figures presented on the Platform are illustrative. No contractual offer is formed prior to the signing of a separate notarial deed, preceded by a personalized assessment.
Access to the seller, investor and broker portals requires the creation of an account and, for investors, identity verification (KYC) in accordance with Lebanese regulations applicable to real estate acquisition by non-residents or non-Lebanese nationals.
Listing a property on the Platform presupposes that its owner has beforehand authorized Liban Viager, by means of a dedicated confirmation pop-up shown at the time of listing, to market and administer introductions relating to that property, on the basis of the indicative terms produced by the simulator (the "Marketing Mandate"). This mandate is an ordinary, revocable mandate — distinct, in both its purpose and its legal regime, from the irrevocable mandate that may be granted to Liban Viager in the notarial deed of a specific transaction. It confers no power to sign, transfer, or encumber any real right in the property.
Before being introduced to any specific Viager opportunity, any User acting as an investor must have read and accepted, by means of a dedicated confirmation pop-up shown after account creation, Liban Viager's general fee framework (the applicable origination and management fee structure), which applies regardless of which property the transaction ultimately involves. Liban Viager represents and warrants that none of its fees is, can be, or will ever be calculated based on, or increased because of, the occurrence of a default in payment of the life annuity — this non-contingency guarantee is an essential condition of Liban Viager's neutrality in exercising any mandate that may be granted to it for a given transaction.
Acceptance of the Marketing Mandate and of the general fee framework described above is general and preliminary in scope; it does not fix the amounts applicable to any specific transaction. As soon as a property and consideration (bouquet, life annuity) are identified for a given transaction, the exact amounts owed to Liban Viager, together with the non-contingency guarantee recalled above, are recorded in a confirmation agreement signed by the parties concurrently with the notarial deeds of the transaction.
Acceptance of these terms and of the Marketing Mandate or the general fee framework is given electronically (a checkbox or a dedicated confirmation pop-up requiring a positive act by the User), with logging of the timestamp and dispatch of a confirmation email summarizing the terms accepted. Lebanese Law No. 81/2018 recognizes, in principle, the validity of electronic acceptance of contracts; however, its full evidentiary equivalence with a handwritten signature depends on accredited authentication service providers, which are not yet operational in Lebanon as of this date, so that the evidentiary value of this mechanism before Lebanese courts remains subject to the court's assessment. For a User acting from a foreign jurisdiction with a fully operative electronic signature regime, the formal validity of that User's electronic acceptance may be assessed by reference to the law of that place, without prejudice to the application of Lebanese law to the substance of these terms.
These terms are governed by Lebanese law. Any dispute falls within the jurisdiction of the Lebanese courts, subject to any arbitration clauses that may be provided for in the viager contracts themselves.
